GALNT Terms and Conditions

02Definitions

As used in these Terms, the following definitions apply:

• "AI Features" means the artificial intelligence and machine learning capabilities integrated into the Platform, including but not limited to chat, market analysis, rule event detection, and news summarization, powered by third-party AI model providers.
• "Exchange" or "LP" (Liquidity Provider) means any third-party cryptocurrency exchange, brokerage, prediction market platform, or decentralized exchange to which you connect through the Platform using API credentials you provide.
• "Free Tier" means the no-cost access level of the Platform, subject to the limitations described in Section 5.
• "License" means the limited, non-exclusive, non-transferable license granted to you under these Terms to use the Platform.
• "License Key" means the unique alphanumeric code issued to Premium Tier subscribers upon purchase that activates Premium Tier features.
• "Platform" means the GALNT AI Bridge and GALNT Prime software applications, including the desktop application, mobile companion application, cloud infrastructure, license server, and all related software and services provided by 77 Spark LLC.
• "Premium Tier" means the paid subscription access level that removes Free Tier restrictions and enables additional features as described in Section 5.
• "Rules" or "Automated Rules" means user-configured conditional logic that the Platform's rule engine evaluates against market data to automatically execute trades or take other actions.
• "White Label License" means a commercial license granted to an authorized broker or institutional partner to distribute a customized build of the Platform under their own branding.
• "GALNT_SYNC" means the encrypted synchronization document that the desktop application generates and transmits to the mobile application to share account snapshots, rules, and market data.

03Eligibility and Geographic Restrictions

To use the Platform, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into a binding contract in your jurisdiction; (c) not be a person or entity subject to sanctions administered by OFAC, the UN, the EU, or any other applicable governmental authority; and (d) not be a resident or citizen of any jurisdiction where use of the Platform, participation in cryptocurrency trading, or use of automated trading software is prohibited by applicable law.

By using the Platform, you represent and warrant that you meet all of the foregoing eligibility requirements. 77 Spark LLC reserves the right to terminate your access to the Platform if it determines, in its sole discretion, that you do not meet these requirements or that your use of the Platform violates applicable law.

The Platform is currently intended for use by persons located in the United States. 77 Spark LLC makes no representation that the Platform is appropriate, lawful, or available in other jurisdictions. If you access the Platform from outside the United States, you do so at your own risk and you are solely responsible for compliance with local laws.

04Account Registration and Authentication

4.1 Google OAuth Identity

Access to the Platform requires sign-in with a valid Google account via Google OAuth. Your Google email address ("Gmail Address") serves as your account identifier across the desktop application, mobile application, and our license server. By signing in, you authorize the Platform to access limited Google account data (name, email, profile, and Gmail read-only access for cloud synchronization) in accordance with Google's OAuth scopes.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your Google account credentials, your Platform session tokens, your exchange API keys, and your device security. You agree to notify 77 Spark LLC immediately at support@galnt.com if you become aware of any unauthorized access to your account or any security breach. 77 Spark LLC will not be liable for any loss or damage arising from your failure to maintain account security.

4.3 Accurate Information

You agree to provide accurate and complete information in connection with your account and to keep such information current. You represent that all information you provide is truthful, accurate, and complete.

4.4 One Account Per User

Each user is permitted one account. You may not create or maintain multiple accounts. You may not share your account or License Key with any other person except as expressly permitted under a White Label License.

05License Grant and Restrictions

Subject to your compliance with these Terms, 77 Spark LLC grants you a limited, non-exclusive, non-sublicensable, non-transferable, revocable license to install and use the Platform solely for your personal, non-commercial trading purposes, subject to the tier-specific limitations set forth below. The Platform is licensed, not sold.

5.1 Free Tier License

Upon completing Google OAuth authentication, you are granted access to the Free Tier of the Platform at no cost. The Free Tier is subject to the following limitations, which are enforced by the Platform:

• Maximum of one (1) active automated rule at any time.
• Trade execution limited to a single default exchange account (the "Default LP") designated at setup. Execution on additional connected exchanges is not permitted.
• Cloud synchronization for the Free Tier uses a Gmail draft mechanism. Premium cloud relay features are not available.
• Mobile companion access is included; however, multi-LP orderbook features for additional exchanges are displayed in a locked state.

Free Tier access may be modified, suspended, or discontinued by 77 Spark LLC at any time with or without notice. 77 Spark LLC reserves the right to introduce additional limitations or time restrictions on the Free Tier.

5.2 Premium Tier License

Premium Tier access is activated by purchasing a subscription through LemonSqueezy and entering the License Key issued to your Gmail Address. Premium Tier benefits include:

• Unlimited active automated rules (subject to platform performance limits).
• Trade execution across all connected exchange accounts.
• Priority support tier.
• Real-time cloud synchronization via WebSocket relay for the mobile companion app.
• Access to all current and future Premium Tier features released during the active subscription period.

The Premium Tier License is subject to machine fingerprinting. Your License Key may be activated on a limited number of devices as specified at the time of purchase. Activation on additional devices requires purchasing additional seats or deactivating an existing device through Settings. Circumventing machine fingerprinting is a material breach of these Terms.

Premium subscriptions are billed on the cycle specified at purchase. Your subscription renews automatically unless you cancel before the renewal date. Refund policies are governed by our Refund Policy, which is incorporated herein by reference.

5.3 White Label License

A White Label License is a commercial license granted to authorized broker partners and institutional users under a separate written agreement with 77 Spark LLC. White Label Licenses permit the distribution of a customized build of the Platform under the partner's own branding to their end users. White Label Licensees are bound by the terms of the separate White Label Agreement in addition to these Terms. End users of White Label builds are subject to the end-user terms provided by the White Label partner.

5.4 General License Restrictions

Regardless of license tier, you may NOT:

• Copy, reproduce, distribute, or create derivative works based on the Platform or any component thereof.
• Reverse engineer, decompile, disassemble, or attempt to extract source code from the Platform's compiled binaries, except to the extent expressly permitted by applicable law.
• Sublicense, sell, rent, lease, transfer, assign, or otherwise commercially exploit the Platform or your License to any third party.
• Remove, obscure, or alter any copyright, trademark, or proprietary rights notices within the Platform.
• Use the Platform to engage in market manipulation, wash trading, spoofing, layering, front-running, or any other activity prohibited by applicable law or exchange rules.
• Use the Platform for high-frequency trading strategies that violate exchange terms of service or applicable regulatory requirements.
• Attempt to circumvent, bypass, or disable any license enforcement, machine fingerprinting, or feature restriction mechanisms in the Platform.
• Access or use the Platform if your right to do so has been suspended or terminated.
• Use the Platform to access exchange accounts belonging to any person other than yourself, unless you have been granted explicit written authorization to act as their agent and you have disclosed this arrangement to 77 Spark LLC.

06Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in a manner consistent with all applicable local, national, and international laws and regulations. You agree not to:

• Use the Platform to transmit, upload, or process any data that infringes, misappropriates, or violates any third-party intellectual property rights, privacy rights, or other legal rights.
• Attempt to gain unauthorized access to any systems, networks, or data that you are not authorized to access.
• Introduce malware, viruses, worms, trojans, or other harmful code into the Platform or any connected system.
• Engage in any activity that disrupts, degrades, or impairs the Platform, our cloud infrastructure, or third-party exchange infrastructure.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Use the Platform in any manner that could expose 77 Spark LLC to regulatory liability or harm its reputation.
• Use the AI features of the Platform to generate content intended to manipulate markets, spread misinformation, or deceive other traders.

77 Spark LLC reserves the right to investigate suspected violations of this Acceptable Use Policy and to suspend or terminate your access to the Platform if we determine, in our sole discretion, that a violation has occurred or is likely.

07Third-Party Integrations and Exchanges

7.1 Exchange API Connections

The Platform enables you to connect to third-party exchanges and market venues using API credentials you provide. By providing API credentials to the Platform, you represent and warrant that: (a) you are the authorized account holder for the connected exchange account; (b) you have read and agree to the terms of service of the connected exchange; and (c) your use of the Platform in connection with that exchange does not violate the exchange's terms of service.

The Platform stores your API keys in your local operating system's credential manager (macOS Keychain or Windows Credential Manager). API keys are never stored on 77 Spark LLC servers and are never transmitted to the mobile application. You are responsible for configuring API keys with appropriate permission scopes and strongly encouraged to disable withdrawal permissions on all connected exchange API keys.

7.2 No Responsibility for Third-Party Platforms

77 Spark LLC is not affiliated with, endorsed by, or responsible for any third-party exchange, brokerage, prediction market platform, or DeFi protocol. The availability, accuracy, reliability, and compliance of third-party platforms are entirely outside our control. We do not guarantee that any particular exchange will remain accessible through the Platform, that exchange APIs will function as expected, or that any trade submitted through the Platform will be accepted, executed, or filled.

7.3 Third-Party AI Providers

The AI features of the Platform rely on API access to third-party AI model providers (Anthropic, OpenAI, Google). You are responsible for maintaining valid API keys for these providers and for all charges incurred. 77 Spark LLC does not control the behavior, availability, or policies of third-party AI models. Your use of these AI providers through the Platform is also subject to those providers' terms of service and usage policies.

7.4 Google OAuth and Gmail

The Platform uses Google OAuth for authentication and, for Free Tier users, uses Gmail draft storage as a cloud synchronization mechanism. Your use of Google's services in connection with the Platform is subject to Google's Terms of Service and Privacy Policy. 77 Spark LLC is not responsible for any changes to Google's services that affect Platform functionality.

08Artificial Intelligence Features

The Platform includes AI-powered chat, market analysis, event detection, and news summarization capabilities. By using AI features, you acknowledge and agree that:

• AI outputs are not investment advice and are not guaranteed to be accurate, complete, or current.
• AI models may produce inaccurate, outdated, or misleading outputs ("hallucinations"). You must independently verify AI outputs before taking any action.
• AI-generated content does not reflect the views or endorsement of 77 Spark LLC.
• The AI event trigger functionality may fail to detect qualifying events or may incorrectly identify events that did not occur. You are responsible for validating rule behavior.
• You are solely responsible for all decisions you make in reliance on AI outputs.
• You will not use AI features to generate content that constitutes market manipulation, insider trading, or fraud.

77 Spark LLC disclaims all liability for any loss arising from your reliance on AI-generated content within the Platform.

09Automated Trading and Rule Engine

9.1 User Responsibility for Rules

You are solely and entirely responsible for the design, configuration, testing, and ongoing monitoring of all automated rules you create within the Platform. Rules execute trades on your behalf using real funds in your exchange accounts. You understand and accept that:

• Rules may execute trades at any time of day or night, including while you are asleep or otherwise unavailable.
• Rules may trigger unexpectedly due to market conditions, data errors, or edge cases in your rule logic.
• Rules may interact with each other in unintended ways if multiple rules target the same asset or account.
• The Platform does not limit the aggregate size or number of trades triggered by your rules, except as imposed by Free Tier restrictions.

9.2 Pause Button

The Platform includes a global Pause Button that suspends all AI calls, rule evaluation, and trade execution. The Pause Button is a convenience feature and does not constitute a safety guarantee. You are responsible for activating the Pause Button when you wish to halt automated activity. 77 Spark LLC is not responsible for any trades executed before the Pause Button is activated.

9.3 Dry Run Mode

The Platform includes a Dry Run Mode that simulates trade execution without placing real orders. Dry Run results are illustrative only and may not reflect actual live execution outcomes. Past Dry Run performance does not guarantee future live performance.

9.4 Portfolio Rebalancing

The Portfolio Control feature executes market orders to bring your connected exchange accounts into alignment with user-configured target allocations. Rebalancing executes in strict mode: assets held in connected accounts that are not included in the portfolio target are sold in their entirety before target assets are purchased. You are solely responsible for configuring portfolio targets and for reviewing the pre-execution preview before confirming a rebalance. 77 Spark LLC is not liable for any losses arising from rebalancing operations.

9.5 No Guarantee of Execution

The Platform does not guarantee that any trade, rule trigger, or rebalancing operation will be executed, filled, or completed. Execution failures may occur due to exchange outages, API errors, insufficient funds, market halts, network issues, or other conditions outside 77 Spark LLC's control. 77 Spark LLC bears no responsibility for any losses arising from execution failures.

10Fees, Payment, and Subscriptions

10.1 Premium Subscription Fees

Premium Tier access requires payment of the applicable subscription fee as displayed at the time of purchase through our payment processor (LemonSqueezy). Subscription fees are billed in advance on the billing cycle selected at purchase (monthly or annual). All fees are stated in US Dollars and are exclusive of applicable taxes. You are responsible for all applicable taxes.

10.2 Automatic Renewal

Premium subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You authorize 77 Spark LLC and its payment processor to charge your payment method on file for the renewal amount. You may cancel your subscription at any time through the LemonSqueezy account portal or by contacting support@galnt.com.

10.3 No Refunds

All fees paid for Platform subscriptions are non-refundable except as expressly required by applicable law or as stated in our Refund Policy published on our website. Cancellation of a subscription terminates your access to Premium Tier features at the end of the current billing period.

10.4 Price Changes

77 Spark LLC reserves the right to change subscription pricing at any time. Price changes will take effect at the start of the next billing period following notice to you. Continued use of the Platform after a price change takes effect constitutes your agreement to the new pricing.

10.5 AI and Third-Party API Costs

Use of AI features requires you to provide and maintain valid API keys from third-party AI providers (Anthropic, OpenAI, Google). All charges from those providers are billed directly by them and are separate from 77 Spark LLC's subscription fees. You are solely responsible for all third-party API costs.

11Intellectual Property

11.1 Ownership

The Platform, including all software, code, algorithms, rule engine logic, UI designs, trademarks, logos, documentation, and trade secrets, is and remains the exclusive property of 77 Spark LLC and its licensors. Nothing in these Terms transfers any ownership rights to you. You acquire only the limited license set forth herein.

11.2 Feedback

If you provide any feedback, suggestions, or ideas regarding the Platform ("Feedback"), you hereby grant 77 Spark LLC a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, publish, distribute, and sublicense such Feedback for any purpose without compensation to you.

11.3 Restrictions on Copying

You acknowledge that the Platform's compiled binary contains proprietary business logic and trade secrets of 77 Spark LLC. Reverse engineering, decompilation, disassembly, or any attempt to extract, reproduce, or replicate the business logic, algorithms, or rule engine of the Platform is strictly prohibited and constitutes a material breach of these Terms and infringement of 77 Spark LLC's intellectual property rights.

11.4 GALNT Trademarks

"GALNT," "GALNT Prime," "GALNT AI Bridge," and associated logos and product names are trademarks or service marks of 77 Spark LLC. You may not use any GALNT trademark, logo, or trade name without prior written consent from 77 Spark LLC.

12Privacy and Data

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference and available at our website. The Privacy Policy describes how we collect, use, store, and share information about you in connection with your use of the Platform.

The Platform collects limited anonymized usage telemetry (such as session start, rule created, order placed events) solely for the purpose of improving the Platform. No personally identifiable trading data or exchange account contents are transmitted to 77 Spark LLC servers. Exchange API keys are stored exclusively in your local operating system's credential manager and are never transmitted to our servers.

By using the Platform, you consent to the collection and use of information as described in our Privacy Policy.

13Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, 77 SPARK LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION: (A) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) WARRANTIES THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR ACHIEVE ANY SPECIFIC TRADING RESULTS; (C) WARRANTIES THAT THE PLATFORM WILL OPERATE WITHOUT ERROR, INTERRUPTION, OR DATA LOSS; (D) WARRANTIES AS TO THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY DATA, AI OUTPUT, OR INFORMATION PROVIDED BY OR THROUGH THE PLATFORM; AND (E) WARRANTIES AS TO THE CONTINUED AVAILABILITY OF ANY THIRD-PARTY EXCHANGE, AI PROVIDER, OR OTHER SERVICE INTEGRATED WITH THE PLATFORM.

77 Spark LLC does not warrant that the Platform will generate profits, prevent trading losses, or outperform any alternative trading approach. All trading activity conducted through the Platform is at your sole risk.

14Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 77 SPARK LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, REVENUE, OR TRADING GAINS; (C) LOSS OF DATA, BUSINESS, OR GOODWILL; (D) FINANCIAL LOSS ARISING FROM AUTOMATED RULE EXECUTION, PORTFOLIO REBALANCING, OR AI-GENERATED OUTPUTS; (E) LOSSES ARISING FROM THIRD-PARTY EXCHANGE FAILURES, API OUTAGES, OR SECURITY BREACHES; OR (F) ANY OTHER PECUNIARY LOSS; REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, AND EVEN IF 77 SPARK LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WHERE APPLICABLE LAW DOES NOT PERMIT THE EXCLUSION OF CERTAIN LIABILITIES, 77 SPARK LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO 77 SPARK LLC FOR THE PLATFORM LICENSE IN THE TWELVE (12) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. To the extent such exclusions or limitations are not permitted, the applicable limitations shall apply to the maximum extent permitted by law.

15Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless 77 Spark LLC and its officers, directors, employees, contractors, successors, assigns, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Platform, including any trading activity conducted through the Platform.
• Your breach of these Terms or the Risk Disclosure Statement.
• Your violation of any applicable law, rule, or regulation in connection with your use of the Platform.
• Your violation of any third-party rights, including exchange terms of service, intellectual property rights, or privacy rights.
• Any automated rules you configure in the Platform and any resulting trading activity.
• Your provision of inaccurate, false, or misleading information in connection with your account.

16Term and Termination

16.1 Term

These Terms are effective from the date you first install or use the Platform and continue in effect until terminated as provided herein.

16.2 Termination by You

You may terminate these Terms at any time by uninstalling the Platform and ceasing all use. For Premium Tier users, termination of these Terms does not automatically cancel your subscription; you must cancel your subscription separately through LemonSqueezy or by contacting support@galnt.com.

16.3 Termination by 77 Spark LLC

77 Spark LLC may suspend or terminate your access to the Platform at any time, with or without cause or notice, including but not limited to:

• Your breach of these Terms or the Risk Disclosure Statement.
• Suspected fraudulent, abusive, or illegal activity in connection with your use of the Platform.
• Your circumvention of license enforcement or machine fingerprinting mechanisms.
• A requirement of applicable law or order of a governmental authority.
• Discontinuation of the Platform or any component thereof.

16.4 Effect of Termination

Upon termination of these Terms: (a) your license to use the Platform terminates immediately; (b) you must uninstall and cease all use of the Platform; (c) provisions that by their nature should survive termination shall survive, including Sections 11 (Intellectual Property), 13 (Disclaimer of Warranties), 14 (Limitation of Liability), 15 (Indemnification), and 18 (Governing Law and Dispute Resolution).

17Software Updates and Modifications

77 Spark LLC may release updates, patches, or new versions of the Platform from time to time. Some updates may be delivered automatically (including over-the-air JavaScript bundle updates for the mobile application). You agree that 77 Spark LLC may update the Platform without prior notice and that such updates are governed by these Terms.

77 Spark LLC reserves the right to modify, suspend, or discontinue any feature, functionality, or component of the Platform at any time with or without notice. A "forced update" notification may be displayed if the installed version of the Platform is below the minimum supported version; in such case, continued use of the Platform requires installation of the update.

77 Spark LLC may modify these Terms at any time. We will provide notice of material changes via in-app notification, email, or by posting revised Terms on our website. Your continued use of the Platform after the effective date of any revised Terms constitutes your acceptance of the revised Terms.

18Governing Law and Dispute Resolution

18.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles.

18.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact 77 Spark LLC at support@galnt.com and attempt to resolve the dispute informally for at least thirty (30) days.

18.3 Binding Arbitration

EXCEPT FOR DISPUTES THAT MAY BE BROUGHT IN SMALL CLAIMS COURT, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS CONSUMER ARBITRATION RULES. THE ARBITRATION WILL BE CONDUCTED BY A SINGLE ARBITRATOR IN DELAWARE OR, AT YOUR ELECTION, VIA VIDEOCONFERENCE. THE ARBITRATOR'S DECISION SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.

18.4 Class Action Waiver

YOU AND 77 SPARK LLC EACH WAIVE THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING IN CONNECTION WITH ANY DISPUTE ARISING UNDER THESE TERMS OR RELATING TO THE PLATFORM. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITIES ONLY.

18.5 Injunctive Relief

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in connection with: (a) violations of 77 Spark LLC's intellectual property rights; or (b) breach of confidentiality obligations.

19Miscellaneous

19.1 Entire Agreement

These Terms, together with the Risk Disclosure Statement, Privacy Policy, and any applicable White Label Agreement, constitute the entire agreement between you and 77 Spark LLC with respect to the Platform and supersede all prior agreements, representations, and understandings.

19.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

19.3 Waiver

The failure of 77 Spark LLC to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of 77 Spark LLC.

19.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of 77 Spark LLC. 77 Spark LLC may freely assign these Terms, including in connection with a merger, acquisition, or sale of all or substantially all of its assets.

19.5 Force Majeure

77 Spark LLC shall not be liable for any delay or failure in performance of the Platform resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government action, cyberattacks, internet outages, exchange failures, or third-party service disruptions.

19.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. Only you and 77 Spark LLC are parties to this Agreement.
